Terms of Service

1. Who we are and what these terms cover

SimProfits (simprofits.ai, "SimProfits", "we", "us") is a brand operated by Marmedia LLC, Albuquerque, New Mexico, USA. SimProfits is an online education product: training videos, written lessons, tools, templates, a members dashboard and related services (together, the "Service"). These Terms of Service (the "Terms") are a binding agreement between you and Marmedia LLC, the operator of SimProfits. They apply to every purchase of a SimProfits product, to every visit to simprofits.ai, and to your use of the members area, the tools inside it and any page we host for you.

By purchasing a SimProfits product, creating an account, or using the Service, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy (simprofits.ai/privacy) and Refund Policy (simprofits.ai/refunds), which are part of these Terms. If you do not agree, do not purchase or use the Service.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to buy or use the Service. By using the Service you confirm that you meet this requirement. If you use the Service on behalf of a business, you confirm that you are authorised to bind that business to these Terms.

3. What you are buying

SimProfits is a digital education product. Depending on the products you purchase, the Service may include access to training modules and videos, downloadable materials and templates, software tools inside the members area (including a page-building tool and pages we host for you), a rewards programme, and live or recorded training sessions delivered by us or by a training partner.

All purchases are one-time purchases. Nothing you buy from SimProfits renews automatically and we do not sell subscriptions. Some optional upgrades carry additional terms that are shown to you on the purchase page before you buy; those terms apply in addition to these Terms.

We may add, change, retire or replace parts of the Service over time. We will keep the core training you paid for available to you for as long as the Service operates, and we will give reasonable notice inside the members area before retiring a product you own.

4. Purchases, prices and payment

Payments are processed by independent payment processors on their own checkout pages. When you pay, you also agree to the processor's terms and privacy policy. We do not see or store your full card number.

Prices are shown in US dollars unless stated otherwise. You are responsible for any taxes, currency-conversion charges or bank fees that apply to you. Optional add-ons offered during or after checkout are separate one-time purchases and are charged separately.

Your receipt is sent by the payment processor to the email address you used at checkout. Please keep that email address current; it is how we identify your purchases and your account.

5. Your account

An account is created for verified buyers only, using the email address from your purchase. You are responsible for keeping your login details confidential and for everything that happens under your account. Tell us at once at support@simprofits.ai if you believe someone else has used your account.

One account per person. You may not share, lend, sell or transfer your account or your access. We may suspend or close an account that is shared, that was opened with false details, or that is used in breach of these Terms.

If a payment is refunded, reversed or charged back, the access that payment covered ends. If a purchase cannot be confirmed by the payment processor within a reasonable time, we may pause access until it is confirmed.

6. Licence to use the materials

When you buy a SimProfits product we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to access and use the materials in that product for your own education and your own business. You may not copy, record, download (except where we provide a download), reproduce, publish, distribute, resell, sublicense, rent, share, translate or create derivative works from the materials, in whole or in part, and you may not share your login so that others can use them.

Everything in the Service, including videos, text, graphics, software, page templates, the SimProfits name and logos, is owned by us or our licensors and is protected by copyright, trademark and other laws. All rights not expressly granted to you are reserved. Where an upgrade grants you additional usage rights, the terms of that upgrade state exactly what is allowed.

If you send us suggestions or feedback, you agree that we may use them without any obligation to you.

7. Acceptable use

You agree not to: use the Service for anything unlawful, deceptive or harmful; attempt to gain access to accounts, systems or data that are not yours; bypass or interfere with access controls, video protection or usage limits; scrape, crawl or copy the Service by automated means; upload malware or anything that could damage the Service; harass or abuse other members or our team; or use the Service to send spam or unsolicited messages of any kind.

We may investigate suspected breaches and may suspend or terminate access where we reasonably believe these Terms have been breached.

8. Content you create and pages we host for you

Some tools inside the Service let you create content, such as a page we host for you at a simprofits.ai address. You keep ownership of the content you create. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, display and transmit that content so that we can provide the Service.

You are responsible for the content you create and publish, including making sure it is truthful, that it complies with the law and with the rules of any third-party programme or network you take part in, and that it carries any disclosures the law requires (for example a clear affiliate disclosure where you earn commissions). You may not publish content that is illegal, misleading, infringing, defamatory, hateful or that promotes prohibited products or schemes. We may remove or unpublish content that we believe breaches these Terms or exposes us or others to risk, with or without notice.

9. Third-party services, partners and offers

The Service references and links to third-party services, tools, networks and offers, and some parts of the Service are delivered with partners (for example live training sessions and onboarding sessions). Third parties have their own terms and privacy policies. We do not control third-party services and are not responsible for their content, availability, accuracy, pricing, delivery or conduct. Your dealings with any third party, including purchases you make from them, are between you and that third party.

Affiliate disclosure: some of the links we share inside the Service and in our emails are affiliate links. If you buy a product or service through such a link, we may receive a commission at no extra cost to you. We only recommend products we believe are relevant to our members. Any decision to buy is yours alone.

10. Earnings disclaimer and no professional advice

SimProfits teaches skills and provides tools. We do not promise or guarantee that you will earn money, achieve any particular result, or achieve results in any particular time. Any earnings figures, examples or testimonials we share are individual experiences and are not typical; they are shown to illustrate what some people have done, not what you should expect. Your results depend on your own effort, skills, time, resources, market conditions and many factors outside our control, and it is possible that you will earn nothing at all.

Nothing in the Service is financial, investment, legal, tax or professional advice. Consult a qualified professional before making decisions that affect your finances or your business.

11. Communications

Transactional messages: we send you emails that are part of the Service, such as login links, receipts, account and security notices. You cannot opt out of these while you hold an account.

Marketing emails: with your purchase, and where you started a checkout with us, we may email you about your training, related offers and news. Every marketing email contains an unsubscribe link, and you can also ask us to stop at support@simprofits.ai.

Calls: when you provide a phone number at checkout, we or the partners who deliver the onboarding and strategy sessions included with your purchase may call you about your order and those sessions. Tell us at any time if you do not want to be called.

Text messages: we send text messages only to people who have separately opted in. See section 12.

12. SMS terms

If you tick the text-message box on our thank-you page, you agree to receive automated reminder text messages from SimProfits at the mobile number you provide, up to one message per day for 7 days, about the free live training that comes with your purchase. Consent is not a condition of purchase. Message and data rates may apply; message frequency varies. Mobile carriers are not liable for delayed or undelivered messages. Reply STOP to any message to cancel at any time; reply HELP for help, or contact support@simprofits.ai or simprofits.ai/contact. Our Privacy Policy explains how we handle your mobile number.

13. Refunds

Our Refund Policy (simprofits.ai/refunds) explains the money-back guarantee that comes with every purchase, how to request a refund and what happens when a purchase is refunded. When a purchase is refunded, your access to that product ends.

14. Billing disputes

If you have a problem with a charge, please contact us first at support@simprofits.ai. We answer within one business day and refund promptly when a refund is due. If a chargeback is opened with your bank instead, we may pause access to the disputed product while the bank reviews it, and we will provide the bank with the records of your purchase and use. Where a dispute is found to have no basis, we may decline future purchases from the same person.

15. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if your payment is refunded, reversed or charged back, if we are required to by law, or if we reasonably believe your account is being used for fraud or abuse. Where practical we will tell you why. Sections that by their nature should survive termination (including sections 6, 8, 10, 16, 17, 18 and 19) continue to apply.

16. Disclaimer of warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. We do not warrant that the Service, or any third-party product or service referenced in it, will meet your requirements or produce any particular result.

17. Limitation of liability

To the fullest extent permitted by law, we and our team, contractors, licensors and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, data or goodwill, arising out of or relating to the Service or these Terms, even if we were advised of the possibility of such damages. Our total liability for all claims relating to the Service in any 12-month period is limited to the amount you paid us for the Service in that period. Some jurisdictions do not allow certain limitations; in those places our liability is limited to the extent permitted by law.

18. Indemnity

You agree to defend, indemnify and hold harmless SimProfits and its team, contractors and partners from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms, your content, your use of the Service, or your dealings with third parties.

19. Disputes

If you have a concern, please contact us first at support@simprofits.ai; most issues are resolved within days. If we cannot resolve a dispute informally within 30 days of your first notice, either of us may bring an individual claim. You agree that disputes will be resolved on an individual basis and not as part of a class, collective or representative action. You may bring a qualifying claim in small-claims court. These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law rules, and nothing in these Terms removes rights that consumer protection laws give you and that cannot be waived.

20. Copyright complaints

If you believe material on the Service infringes your copyright, email support@simprofits.ai with a description of the work, the location of the material, your contact details, a statement of good-faith belief that the use is not authorised, and a statement under penalty of perjury that the information is accurate and that you are the owner or authorised to act for the owner. We respond to valid notices promptly.

21. Changes to the Service and to these Terms

We may update these Terms from time to time. The date at the top of this page shows when they last changed. If a change is material we will announce it inside the members area or by email before it takes effect. Your continued use of the Service after a change means you accept the updated Terms. If you do not agree, stop using the Service and contact us about any refund you may be entitled to under the Refund Policy.

22. General

These Terms, together with the Privacy Policy, the Refund Policy and any upgrade-specific terms shown at purchase, are the entire agreement between you and us about the Service. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms; we may assign them to a successor of the business. We are not liable for delays or failures caused by events outside our reasonable control.
